Terms of Use

These Terms of Use (these “Terms”) govern your access to and use of the Ariadni platform, available at ariadnilegal.ai (the “Service”), provided by Ariadni LLC, a California limited liability company (“Ariadni,” “we,” or “us”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Ariadni is a software tool that helps legal‑services buyers monitor their counsel. With your authorization, Ariadni reviews documents your counsel sends to your connected mailbox after you connect, measures responsiveness from your inbox metadata, and returns automated observations and questions to you. If you install the optional Ariadni Companion application on your Mac and connect it with a token from your dashboard, the Service also displays text and call responsiveness computed on your device from timing metadata alone; message content is never read. The Service is informational software. It is not a law firm and it does not provide legal services. You may also upload a document, such as a bill or invoice, for the same kind of review, including an engagement letter or retainer agreement before you sign it. You may set how much weight each review signal carries, for all matters or per matter; any overall score reflects the weighting you choose and is provisional and may be wrong. As your counsel sends successive drafts of a document, the Service keeps a de-identified history of its own analysis so it can compare the drafts and show you whether an issue it raised was addressed; it does not keep the documents themselves. The Service also offers AskAriadni, an email intake: when you email Ariadni’s published intake address, the Service sends you an automated set of observations and questions about the message you sent, and does not retain it.

2. Eligibility and Authority

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization. You represent that you have the right to access and connect the mailbox you connect, and the right to submit to the Service the documents and information you provide.

3. Accounts and Authorization

You access the Service by signing in and, separately, by authorizing access to your mailbox using the permissions presented. You are responsible for maintaining the confidentiality of your account and for activity under it. You may disconnect the Service from your mailbox at any time.

4. Your Responsibilities

You are solely responsible for your use of the Service and for ensuring that your use is lawful. In particular:

• You will only connect a mailbox you are authorized to access, and you will only submit documents and information you have the right to submit and to have analyzed.

• You will obtain any consents and provide any notices required for the Service to process the documents and communications you route through it.

• You will not use the Service to harass, defame, or unlawfully harm any person, and you will not publish, broadcast, or misuse any assessment the Service generates about any third party.

• You will not attempt to access another user’s data, reverse engineer the Service, scrape it, or interfere with its operation or security.

• When you use the AskAriadni email intake, you will submit only messages and attachments you have the right to submit and to have analyzed, and you will obtain any consents and provide any notices required.

5. No Legal Advice and No Attorney‑Client Relationship

The Service provides information, not legal advice. Using the Service does not create an attorney‑client relationship between you and Ariadni or its owner, and nothing the Service produces is a legal opinion or a substitute for the advice of your own counsel. The Service’s output consists of automated observations and questions to help you decide what to ask your lawyer; it is not a finding, a recommendation, or a professional evaluation. You should rely on your own qualified counsel. This applies equally to any reply generated through the AskAriadni email intake.

6. Automated Analysis and Accuracy

The Service uses automated and artificial‑intelligence processing, which can be incomplete, inaccurate, or out of date. Document text is sent to a third‑party artificial‑intelligence interface for analysis, and the automated de‑identification applied beforehand is imperfect and not a guarantee, as described in our Privacy Policy. You should not rely on the Service’s output as the sole basis for any decision, and you should independently verify anything that matters. The same applies to the AskAriadni email intake, which uses the same automated de‑identification and third‑party analysis.

7. Ownership; Your Data; Feedback

As between you and Ariadni, you retain your rights in the data and documents you provide. You grant Ariadni a limited license to process that data solely to provide the Service to you. Ariadni owns the Service, including its software, models of operation, rubrics, and interfaces, and all related intellectual property. The scores, the de-identified assessment history, and other outputs the Service generates for you are for your own internal use, subject to Section 4. We retain that de-identified analysis, but not your documents or messages, as described in the Privacy Policy. If you send us feedback, suggestions, or ideas about the Service, you assign to Ariadni all right, title, and interest in that feedback, and Ariadni may use it for any purpose without restriction, attribution, or compensation.

8. Fees, Trials, and Beta

Certain features may require a paid subscription, billed through our payment processor. Fees, when charged, are as presented at purchase and are non‑refundable except as required by law or as expressly stated at purchase.

The Service is currently offered as a private beta. Beta software is a work in progress: it may contain errors, may produce inaccurate or incomplete output, may be modified, interrupted, suspended, or discontinued at any time with or without notice, and is not guaranteed to be available, secure, or error-free. Features may be added, changed, or removed, and data associated with beta features, including scores and assessment history, may be modified, reset, or deleted in the course of development. Access to the beta is by invitation, and we may grant, condition, suspend, or revoke access at our discretion. TO THE FULLEST EXTENT PERMITTED BY LAW, THE BETA SERVICE IS PROVIDED “AS IS” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OR COMMITMENT OF ANY KIND, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, YOUR USE OF THE BETA SERVICE IS AT YOUR OWN RISK, AND, WHERE YOU HAVE PAID NO FEES FOR THE SERVICE, THE TOTAL AGGREGATE LIABILITY OF ARIADNI AND ITS OWNER ARISING OUT OF OR RELATING TO THE BETA SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Privacy

Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms. Ariadni operates under a Conflicts and Data‑Firewall Policy that bars the owner and FTE Legal from accessing your documents or results; that barrier is built into the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY AS TO ACCURACY, COMPLETENESS, OR AVAILABILITY. ARIADNI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ITS OUTPUT WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

To the fullest extent permitted by law, Ariadni and its owner will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, or business interruption, arising out of or relating to the Service, even if advised of the possibility. To the fullest extent permitted by law, the total aggregate liability of Ariadni and its owner arising out of or relating to the Service will not exceed the greater of the amounts you paid to Ariadni for the Service in the twelve months before the event giving rise to the claim, or one hundred dollars.

The Service relies on independent third-party providers, including Anthropic, PBC (artificial-intelligence analysis), Amazon Web Services, Inc. (email delivery through Amazon Simple Email Service), and Cloudflare, Inc. (inbound email routing), none of which is controlled by Ariadni. To the fullest extent permitted by law, Ariadni and its owner are not responsible or liable for the acts, omissions, security practices, or any data breach of these providers, and you release Ariadni and its owner from any claim arising out of their processing or transmission of content submitted through the Service. This release does not limit, and does not purport to limit, any rights or claims you may have directly against those providers.

The Service relies on a third-party artificial-intelligence provider (currently Anthropic) to process de-identified content, under such provider’s own terms of service and privacy policy, as described in Section 6 and in our Privacy Policy. Anthropic is an independent third party and is not controlled by Ariadni. To the fullest extent permitted by law, Ariadni and its owner are not responsible or liable for the acts, omissions, security practices, or any data breach of Anthropic, and you release Ariadni and its owner from any claim arising out of Anthropic’s processing of content submitted through the Service. This release does not limit, and does not purport to limit, any rights or claims you may have directly against Anthropic.

12. Indemnification

You will indemnify, defend, and hold harmless Ariadni and its owner from and against any Third‑Party Claim to the extent arising out of or relating to your use of the Service, your data or documents, your breach of these Terms, or your violation of law or of the rights of any third party. A “Third‑Party Claim” means any claim, demand, suit, or proceeding brought by a person who is not a party to these Terms. Ariadni will promptly notify you of the Third‑Party Claim, allow you to control the defense with counsel of your choice, and reasonably cooperate; you will not settle any Third‑Party Claim in a way that imposes a non‑monetary obligation on Ariadni without its consent.

13. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required for security or by law, or if we discontinue the Service. On termination, your right to use the Service ends. Sections that by their nature should survive, including Sections 4, 5, 7, and 10 through 15, survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict‑of‑laws rules. The state and federal courts located in California will have jurisdiction over any dispute not otherwise subject to an agreed alternative process, and you consent to venue there.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date, and where appropriate provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy and, for pilot participants, the Pilot Non-Disclosure Agreement, are the entire agreement between you and Ariadni regarding the Service and supersede prior understandings, except that they do not amend or supersede any separately negotiated agreement between you (or your organization) and Ariadni, including any negotiated non-disclosure agreement, which controls in the event of a conflict. If any provision is held unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
